Gregory M. Wilson brings more than three decades of corporate finance, securities, and business law experience to Accord & Shield Legal. He helps start-ups, development-stage companies, and established businesses navigate formation, financing, growth, and strategic transactions with practical, business-minded legal guidance.

Greg advises clients on entity selection and formation, founder and investor agreements, equity ownership, corporate governance, and the duties of boards and officers. His work also includes commercial contracts, internal controls, due diligence, and ongoing corporate housekeeping.

Securities and corporate finance are central to his practice. Greg assists companies with capital formation strategies, private placement offering documents, exemptions from federal securities registration requirements, and compliance with applicable state securities laws. He also prepares SEC registration statements and advises on periodic reporting obligations under the Securities Exchange Act of 1934, including Forms 10-Q, 10-K, and 8-K.

His transactional experience includes equity financings, reverse and forward mergers, asset acquisitions, joint ventures, and other mergers and acquisitions. He advises boards on governance, policy, and SEC-related regulatory compliance. Greg also assists with real estate matters arising in business transactions, including property acquisitions, title review, related due diligence, and commercial leasing.

Greg has represented companies in technology, real estate, mining, oil and gas, finance, and manufacturing. Whether a client is launching a venture, raising capital, negotiating a key agreement, or preparing for an acquisition or sale, he focuses on clear guidance that helps the business manage risk and move forward.

Greg is admitted to practice in Washington and Idaho and is in the process of applying for admission to the Arizona Bar, where he is not yet admitted.
