Nadine Deeb
Nadine Deeb is a business attorney licensed in California, Arizona, and Texas — a rare triple-bar admission that lets her counsel companies operating across all three states. She advises companies on mergers and acquisitions, contracts, and employment matters, and represents clients in business litigation and employer defense — with a deep command of both state and federal business law.
Nadine earned her law degree at the University of San Diego School of Law, where she received her Juris Doctor with a concentration in corporate and business law — the foundation for a career spent entirely inside the world of growing companies.
She began that career in-house at Cerna Solutions, a California technology company, where she joined as the company’s sole legal resource and grew alongside it. What started with foundational legal work expanded as the company did: with virtually every legal matter crossing her desk, she built deep, hands-on experience in business formation, mergers and acquisitions, contracts, employment, and trademarks. Over nearly five years she rose into the role of trusted in-house counsel, supporting a workforce spread across nineteen states and developing a fifty-state employee-handbook framework designed around federal requirements and state-specific compliance needs, supporting the company’s continued multi-state growth.
That work culminated in a milestone every founder hopes for: she helped guide the company through to a clean, successful exit. The legal foundation she had built — the agreements, the corporate housekeeping, the compliance — held up under the scrutiny of acquisition due diligence. It is the experience that defines how she practices today: structure the business correctly from the start, and it is ready for whatever comes next, whether that is growth, investment, or a sale.
Having served as counsel inside technology companies, Nadine works with clients the way an in-house lawyer would — as ongoing outside counsel for businesses not yet ready for a full-time legal department.
That employer-side foundation shapes how the firm practices today, including employer defense, employment matters, and business litigation. Nadine evaluates each matter individually to determine the right approach before taking it on.
Since launching Accord & Shield Legal, PLLC, she has advised companies across technology, e-commerce, venture capital, automotive, contracting, security services, and solar. Her meticulous attention to detail has helped clients close deals, mitigate risk, and structure agreements built for long-term success.
In-House Counsel Experience at Cerna Solutions
At Cerna Solutions, Nadine joined an early-stage technology company at a pivotal point in its growth. With a small team and no centralized contract-management process, she established practical legal infrastructure that gave the business greater visibility into its commercial commitments, risk allocation, and customer obligations.
Building scalable commercial operations
She organized the company’s existing agreements into a structured system for tracking commercial terms, customer commitments, renewal and termination rights, and other ongoing obligations — then led the review, negotiation, and redlining of incoming commercial agreements:
- Nondisclosure agreements, master services agreements, and statements of work
- Order forms, change orders, and terms and conditions
- Software license agreements, plus proof-of-concept and beta agreements
- Vendor, contractor, and strategic partnership agreements
- Bid documentation and government contracts
- Agreements involving international clients
She also supported data-protection and compliance efforts, and addressed technology-transaction issues including the incorporation of open-source software code.
Employment and corporate infrastructure
As the company grew, Nadine expanded its internal legal and people-operations documentation and supported corporate structuring across affiliated entities:
- An employee handbook and workplace policies for a geographically distributed workforce
- Travel and expense policies
- Employment documentation — offer letters, bonus and commission arrangements, independent-contractor agreements
- Separating entity-level intellectual-property ownership and coordinating IP transfers between affiliated companies
- An intercompany agreement documenting shared personnel and resources
Intellectual property and transaction readiness
Nadine prepared and filed trademark applications with the U.S. Patent and Trademark Office and addressed potential infringement through targeted cease-and-desist correspondence. She supported repeated due-diligence processes with prospective acquirers, through to the acquisition of Cerna Solutions and its affiliated company — the practical grounding for how she approaches transaction readiness today.
Alexandra (Sasha) Berkowitz
Sasha is a trademark attorney with more than a decade of experience helping small and mid-sized businesses across industries secure and protect their intellectual property rights. Her practice covers the full arc of brand protection — trademark clearance searches, federal trademark registration with the USPTO, office action responses, portfolio management, and post-registration maintenance — along with copyright registration and content protection.
Her path into the field started early: an undergraduate visit to the World Intellectual Property Organization headquarters in Geneva sparked an interest that carried her through work as an IP paralegal, a J.D. from the University of San Diego School of Law concentrated in intellectual property — where she served as President of the Intellectual Property Law Association — a senior partner role at a trademark-focused firm, and the founding of her own intellectual property practice. She holds a B.A. in Political Science from the University of the Pacific and is a member of the International Trademark Association (INTA) and the California Lawyers Association.
Her approach is practical and accessible: clients get a clear picture of their options, the tradeoffs each one carries, and how the choice connects to the business decision in front of them. And although she is licensed in California, businesses nationwide can work with her on federal trademark registration, office actions, copyright registration, and related federal intellectual-property matters, subject to the scope of each engagement — practice before the USPTO is federal and open to attorneys licensed in any U.S. state.
